Terms of Service
Welcome to Convex Enterprise AI Platform. This document is a legal agreement between your company (hereinafter referred to as "Customer") and Convex. The enterprise customer is identified as the contracting party and Convex is committed to providing services subject to mutual agreement.
1. Definitions
Convex (We): Enterprise AI service provider through www.convexapp.ir website.
Services: All products, tools, APIs and features provided by Convex.
Customer (You): Organization or legal entity that accepts these terms on behalf of their organization by creating an enterprise account.
User: Any employee or individual authorized by the customer to use Convex services.
Customer Content: Any data, text or information that the customer or their users connect to or input into the services.
Output: Responses and content generated by AI based on user queries and customer content.
Confidential Information: Includes, but not limited to, trade secrets, source codes, internal technical documents, and sensitive business data of either party.
2. Registration and Account
Account Creation: Only authorized representatives of the customer can create enterprise accounts. The customer must provide accurate, complete and up-to-date information during registration.
Security and Responsibility: The customer is responsible for maintaining the confidentiality of their account login information and all activities performed under it. In case of any third-party misuse of the customer's account, the organization will be fully responsible for its consequences.
3. Payment, Billing and Refunds
Costs: Use of services is subject to payment of agreed tariffs based on subscription models.
Billing and Payment: Service amounts must be paid according to issued invoices within the specified time. In case of non-payment on time, Convex may suspend service provision until full settlement.
Refund Policy: Due to the digital nature of services, all purchases are final and non-refundable, unless otherwise specified by law. In exceptional cases such as major technical defects from Convex, the matter will be reviewed according to regulations.
4. Obligations and Permitted Use
Compliance with Laws: The customer undertakes to use the services only in accordance with current laws of the Islamic Republic of Iran and for legal purposes.
Limitations: Any unauthorized use, sending illegal content, offensive, violating privacy or infringing on third-party intellectual property rights is strictly prohibited.
Content Ownership: The customer guarantees that they own all data and content sent to the service and this content does not violate laws or rights of others.
5. Termination and Suspension
Termination by Customer: The customer can terminate this agreement at any time by stopping use and deleting their account.
Termination by Convex: Convex may terminate the contract with at least 30 days written notice in case of material breach of terms by the customer (such as breach of payment, confidentiality or security obligations).
Suspension: Convex reserves the right to suspend service provision with written notice to the customer in emergency cases (such as immediate security threats or abuse).
Post-Termination Obligations: After termination, customer access to services is cut off and the customer must return or destroy any confidential information belonging to Convex.
6. Information Confidentiality
Both parties undertake to maintain each other's confidential information and trade secrets and not disclose them to any third party without written consent of the other party, except in legally mandatory cases. This confidentiality obligation remains in force even after the end or termination of the contract.
7. Warranty Disclaimer and Liability Limitation
Service Provision: Convex provides the service "As Is" and gives no express or implied warranty regarding its accuracy, absolute accuracy or non-interference. The responsibility for evaluating and using AI outputs lies with the customer.
Liability Limitation: Convex's cumulative liability for any direct damages arising from use of services should not exceed the total amounts paid by the customer for services in the twelve (12) months before the damage occurred. Under no circumstances will Convex be liable for indirect, abstract or consequential damages (such as loss of profit or data).
8. Governing Law and Dispute Resolution
This contract is governed by the laws of the Islamic Republic of Iran. Any disputes arising from it will first be resolved through peaceful negotiation and in case of no agreement, will be pursued through competent judicial authorities in Tehran.
Privacy Policy
Convex is fully committed to protecting the privacy and security of its customers' data.
1. Data Collected
Enterprise Account Information: Organization name, user ID and contact information of authorized representative.
Technical Data: IP address, device type, operating system, browser and performance data for analysis and service improvement.
Customer Content: Texts, files and data uploaded or entered by organization users for processing in the service. If special capabilities are provided, more sensitive data may be collected with explicit and informed consent of the customer, which will be under special protection.
2. How We Use Data
Service Provision and Personalization: To process requests and provide relevant and intelligent outputs.
Support and Communications: To respond to support requests and send service-related notifications.
Improvement and Development: We never use customer content (including queries and connected data) to train and improve our AI models or enhance services for other customers. This is a fundamental commitment from us. Only if the customer explicitly and voluntarily grants this permission through their enterprise account settings page, we may use that customer's data (anonymously and aggregated) for internal research and development purposes. This is a completely optional feature and its default state is inactive for all customers.
Security: To monitor platform security and prevent abuse.
3. Data Retention Period
Customer Account Data: Retained as long as the account is active.
Processed Service Data: Data processed in the service (such as queries and outputs) may remain in the system for up to twelve (12) months after generation and then be periodically deleted.
Account Deletion: If the customer requests account deletion, Convex undertakes to permanently and irreversibly purge all information related to that customer from its active systems within thirty (30) days.
4. Information Sharing
Service Providers: To provide services through infrastructure providers (such as language model providers) who are contractually committed to maintaining data confidentiality.
Legal Requirements: To respond to official and binding requests from judicial or law enforcement authorities based on current laws of the Islamic Republic of Iran.
Emergency Conditions: If sharing information is necessary to protect public security or prevent crimes.
5. Information Security
Convex uses advanced security standards, including multi-tenancy architecture, data encryption in transit and at rest, and strict access controls to protect customer information. Internal access to customer information is limited only to authorized employees and for specific purposes.
6. Your Rights
The legal representative of the customer has the right to access their organizational data and, if needed, request its correction or deletion. The customer can also request complete deletion of their account at any time, requesting the purging of all their data.
7. Cookies and Similar Technologies
We may use cookies to improve service performance and store user session information. These cookies usually do not reveal your personal identity and you can manage their settings in your browser.
8. Policy Updates
This document may be updated in the future. In case of significant changes, we will notify our customers through website announcements or email. Continued use of services after changes are applied constitutes acceptance of them.
